Terms of Service

1. Acceptance

These Terms of Service (the “Terms”) form a binding agreement between you and PadRep (“PadRep,” “we,” or “us”) governing your access to and use of the PadRep website, application, and related services (the “Service”). By creating an account, paying for a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a brokerage or team, you represent that you have the authority to bind that entity, and “you” refers to that entity.

2. The Service

PadRep is a managed AI assistant for real estate professionals. The Service connects to third-party tools you authorize (Gmail, Calendar, your CRM, Telegram, your AI provider), reads data from those tools, generates summaries and proposed actions, and executes write actions only after you explicitly approve them.

We provision a dedicated virtual machine on DigitalOcean for each paying customer. Your AI agent runs on that machine. We may update, improve, or modify the Service at any time, including by adding or removing features.

3. Eligibility and account

You must be at least 18 years old and able to enter a binding contract. You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at support@padrep.com if you suspect unauthorized access.

4. Subscriptions, trials, and billing

The Service is offered on a paid subscription basis. Current pricing is shown on padrep.com. Subscriptions renew automatically each billing cycle (monthly or annual, as selected) until cancelled.

  • Trial: we may offer a paid trial (e.g., $1 for 7 days). After the trial, your subscription auto-renews at the standard rate unless you cancel before the trial ends.
  • Payment: billing is processed by Stripe. By providing a payment method, you authorize us to charge it for all fees due, including renewals and applicable taxes.
  • Refunds: fees are non-refundable except where required by law. If we materially breach these Terms and fail to remedy within 30 days of written notice, you may receive a pro-rata refund of unused fees.
  • Price changes: we may change pricing on at least 30 days’ notice. Changes apply to your next renewal cycle.
  • Failed payment: if a charge fails, we may suspend the Service after reasonable retries.

5. AI provider costs

PadRep does not bill you for AI model usage. You provide your own API key (OpenRouter, Anthropic, OpenAI, or Google) and your provider bills you directly for tokens consumed. We recommend setting daily and weekly spend caps with your provider; PadRep is not liable for unexpected AI usage charges on your provider account.

6. Cancellation and termination

You may cancel at any time from your dashboard or by emailing support@padrep.com. Cancellation takes effect at the end of your current billing period, after which we destroy your dedicated server and all data on it. Cancellation does not entitle you to a refund of fees already paid.

We may suspend or terminate your account if you breach these Terms, fail to pay, use the Service in a way that risks our systems or other customers, or as required by law. We will give reasonable notice where feasible.

7. Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation, or fair-housing rule.
  • Send spam, bulk marketing email, or messages that violate CAN-SPAM, TCPA, or similar laws.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Resell, sublicense, or provide the Service to third parties, except that you may use it on behalf of clients of your own real estate practice.
  • Upload content you do not have the right to use or that infringes intellectual-property rights.
  • Attempt to access another customer’s server, data, or account.
  • Probe, scan, or test the vulnerability of the Service without our prior written consent.
  • Use the Service to generate or distribute deceptive or fraudulent content.

8. Your data and content

You retain all rights to the data you bring to the Service — emails, contacts, CRM records, conversations, prompts (“Customer Data”). You grant PadRep a limited license to host, copy, transmit, and process Customer Data only as needed to operate the Service for you. We do not use Customer Data to train AI models, and we do not share it with third parties except the sub-processors disclosed in our Privacy Policy.

You are responsible for the accuracy and legality of Customer Data, and for ensuring you have the right to share it with PadRep (including any consents required from your contacts under privacy and anti-spam laws).

9. Human-in-the-loop and AI output

PadRep is designed so that no email is sent, no CRM record is updated, and no calendar invite is created without your explicit approval. You are responsible for reviewing every action before approving it. AI output may be inaccurate, incomplete, or inappropriate; you should not rely on it without your own judgment.

PadRep is not legal, tax, financial, or fiduciary advice. The Service is a productivity tool. You remain responsible for compliance with real-estate licensing requirements, fair-housing laws, MLS rules, brokerage policies, and all other obligations that apply to your practice.

10. Intellectual property

PadRep and its licensors retain all rights to the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription, in accordance with these Terms.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Third-party services

The Service connects to third-party services you choose (Gmail, Follow Up Boss, Telegram, your AI provider, etc.). Those services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or security of third-party services, and your use of them is at your own risk.

12. Warranty disclaimer

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, PadRep disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

13. Limitation of liability

To the maximum extent permitted by law, PadRep’s aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim or (b) $100. PadRep will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

14. Indemnification

You will indemnify and hold harmless PadRep and its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys’ fees) arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) any action you approve and execute through the Service.

15. Confidentiality

Each party may receive non-public information from the other (“Confidential Information”). The receiving party will protect it with the same care it uses for its own confidential information (no less than reasonable care) and will use it only to perform under these Terms. Confidential Information does not include information that is or becomes public, was already known, or is independently developed without reference to the other party’s information.

16. Modifications to the Terms

We may update these Terms from time to time. If we make material changes we will notify active customers by email at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of state and federal courts located in Delaware for any dispute not subject to arbitration.

Informal resolution: before filing a claim, you agree to first contact us at support@padrep.com and attempt in good faith to resolve the dispute for at least 30 days.

18. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and PadRep.
  • Severability. If any provision is held unenforceable, the rest of the Terms remain in effect.
  • Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for failure or delay caused by events beyond reasonable control (e.g., natural disasters, internet outages, third-party provider failures).
  • No agency. No partnership, agency, or employment relationship is created by these Terms.
